Perhaps they don't want to expose themselves to a the level disclosure required to be an IPO on the NYSE or NASDAQ.
Being Swedish owned doesn't prevent it, at least I don't think so.
Take Novartis, as one example of a Swedish company on the New York Stock Exchange.

Admittedly, I know very little about the details of
MA's business strategy or the rules of international IPO's. But if they wanted to be open to US investors on the stock exchange here, I think they could be.
